1. Overview and Scope
These Terms of Service (“Terms”) govern all transactions, quotations, purchase orders, and business relations between Heze True North International Trade Co., Ltd. (“Company,” “we,” “us,” or “our”) and its customers (“Customer,” “you,” or “your”). By placing an order, accepting a quotation, or entering into any agreement with us, you acknowledge that you have read, understood, and agreed to be bound by these Terms, together with any specific terms set out in the relevant quotation, sales contract, or purchase order.
2. Definitions
3. Quotations and Orders
All quotations are valid for the period stated therein and may be revised by us in the event of significant changes in material, currency, freight, or market conditions. An Order is binding only upon our written acceptance. Any terms or conditions appearing on your purchase order or other documents that conflict with these Terms shall not apply unless expressly agreed to by us in writing.
4. Prices and Payment
Prices are quoted in the currency specified in the quotation and are exclusive of taxes, duties, and freight unless otherwise stated. Payment terms are set out in the applicable quotation or sales contract (for example, T/T, L/C, or other mutually agreed methods). Unless agreed otherwise, payment is due in accordance with the payment schedule stated in the Agreement. In the event of late payment, we reserve the right to suspend or cancel the relevant Order and to charge interest at the rate permitted by applicable law.
5. Samples
Where samples are requested, sample costs and shipping charges may apply and are for the Customer’s account unless otherwise agreed. Approval of a sample confirms only the characteristics of that sample and does not constitute a waiver of any term of the Agreement.
6. Production and Delivery
Delivery dates are estimates given in good faith and are not guaranteed. We shall not be liable for any delay caused by events beyond our reasonable control, including but not limited to those described in Section 12 (Force Majeure). Delivery terms (for example, EXW, FOB, CIF, or DDP) are as specified in the quotation and shall be interpreted in accordance with the latest version of Incoterms published by the International Chamber of Commerce.
7. Inspection and Acceptance
The Customer shall inspect the Products upon receipt and notify us in writing of any apparent damage, shortage, or discrepancy within the period specified in the Agreement (or, failing such specification, within seven (7) days of receipt). Failure to give such notice within the required period shall constitute acceptance of the Products with respect to apparent defects. Latent defects must be notified within the warranty period set out in Section 8.
8. Packaging, Quality and Warranty
Products are packed in accordance with our standard export packaging designed to withstand normal international transport, unless special packaging is agreed in writing. We aim to deliver Products that conform to the specifications agreed in the Agreement. Our warranty covers defects in material and workmanship under normal use for the warranty period stated in the Agreement, and is limited to, at our option, repair, replacement, or a refund of the price paid for the defective Products.
To the extent permitted by law, we make no other warranties, express or implied, including but not limited to any implied warranty of merchantability or fitness for a particular purpose, except as expressly set out in the Agreement. Where the Customer requires compliance with specific standards or regulations, we support and assist the Customer in arranging third-party testing and certification as reasonably requested, covering commonly used international standards and regulations applicable to glass containers and packaging, such as ISO 9001, ISO 22000, FDA (U.S.), REACH (EU), CE, RoHS, and other similar or related standards. Such support and assistance does not constitute a representation or warranty that the Products are or will be certified, unless and until a certificate or approval has actually been issued by the relevant third-party body or authority.
9. Risk and Title
Unless otherwise agreed, risk in the Products passes to the Customer at the point and time determined by the applicable Incoterm. Title to the Products passes to the Customer upon our receipt of full payment for the relevant Order.
10. Limitation of Liability
To the fullest extent permitted by applicable law, our total aggregate liability arising out of or in connection with any Order or Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount paid by the Customer for the relevant Order. In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.
11. Confidentiality
Each party shall keep confidential all non-public information disclosed by the other party in connection with the Agreement and shall not disclose such information to any third party except to the extent required by law or as necessary to perform the Agreement.
12. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under the Agreement to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, epidemics or pandemics, government actions, trade sanctions or embargoes, shipping or port disruptions, and strikes or labor disputes. The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to resume performance. Where such events continue for a prolonged period, either party may terminate the affected Order without liability for the period of delay.
13. Intellectual Property
Unless otherwise agreed, any designs, drawings, specifications, and other materials provided by the Customer remain the Customer’s property, and any materials provided by us remain our property. Nothing in these Terms transfers any intellectual property rights between the parties except as expressly stated.
14. Governing Law and Dispute Resolution
These Terms and any Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict-of-laws principles. Any dispute arising out of or in connection with these Terms or an Agreement shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to [arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC) / the competent court of the place where the Company is located] for final resolution, which shall be binding on both parties.
